Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the LendSure websites, applications, and related services (collectively, the "Services"). The Services include tools that allow lenders and other businesses (each, a "Client") to create and manage income and employment verifications, and allow borrowers ("Borrowers") to complete verification flows using third-party providers such as Argyle and SMS delivery providers.

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind that entity, and "you" and "your" refer to that entity. If you do not agree to these Terms, do not use the Services.

These Terms apply in addition to our Privacy Policy, which explains how we collect, use, and share information when you use the Services.


1. Eligibility and Accounts

The Services are intended for use by businesses and their authorized users. By using the Services, you represent that:

  • You are at least 18 years of age and have the legal capacity to enter into these Terms.
  • If you are acting on behalf of a company or other entity, you are authorized to bind that entity.
  • You will use the Services only in compliance with these Terms and all applicable laws, rules, and regulations.

Clients may be required to create an account and designate one or more authorized users. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access to or use of your account.


2. Description of the Services

LendSure provides a platform that allows Clients to initiate and track income and employment verifications and allows Borrowers to complete verification flows, which may involve:

  • Creating verification records associated with a specific Client.
  • Inviting Borrowers to connect their payroll or employment data through a third-party provider such as Argyle.
  • Sending SMS messages to Borrowers with secure links related to verification flows.
  • Syncing and displaying verification results and related data to authorized Client users.

We may add, modify, or remove features from the Services at any time. Certain features may be made available only to specific Clients, plans, or users.


3. Use of the Services; Compliance Obligations

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services (and any use by your authorized users) complies with all applicable laws, regulations, and industry standards, including those related to:

  • Consumer protection and fair lending.
  • Privacy, data protection, and security.
  • Telecommunications, SMS messaging, and anti-spam rules.
  • Employment and income verification practices.

You agree not to:

  • Use the Services to send unlawful, harmful, abusive, harassing, defamatory, or otherwise objectionable content.
  • Attempt to gain unauthorized access to the Services or related systems or networks.
  • Interfere with or disrupt the operation of the Services or the servers or networks used to make the Services available.
  • Reverse engineer, decompile, or attempt to derive the source code of any portion of the Services, except to the extent permitted by law.
  • Misrepresent your identity or affiliation when using the Services.

4. SMS Messaging Program and Mobile Terms

As part of the Services, LendSure and/or its Clients may send SMS or text messages to Borrowers who have provided consent via a clearly-labeled opt-in form or similar mechanism. These messages are primarily transactional in nature and relate to income and employment verification flows (for example, sending a secure link to complete a verification).

4.1 Consent and Opt-In

By entering your mobile number and submitting the opt-in form on a LendSure-hosted page or a page that uses LendSure's messaging services, you expressly agree to receive SMS messages related to:

  • Initiating, continuing, or completing an income or employment verification.
  • Important updates, reminders, or notices about that verification.

Your consent is not a condition of purchasing any goods or services. You may withdraw consent at any time as described in the opt-out section below.

4.2 Message Frequency

Message frequency will vary based on the specific verification flow and activity, but in general you can expect:

  • 1–5 messages per verification request, including initial invitations and follow-up reminders.
  • Occasional additional messages if troubleshooting or support is required for a given verification.

We will not send marketing or promotional SMS messages through these verification flows unless you have separately provided clear and specific consent for such messages.

4.3 Fees and Charges

Message and data rates may apply to SMS messages sent to or from your mobile device, depending on your wireless plan and carrier. LendSure does not charge you additional fees for SMS messages, but your carrier may charge standard messaging and data rates. You are responsible for any such charges.

4.4 Opt-Out Instructions (STOP)

You may opt out of receiving SMS messages related to a verification at any time by replying "STOP" to any message you receive in that conversation. After you send "STOP," we may send a final confirmation message to confirm that you have been unsubscribed, after which you will no longer receive SMS messages for that verification flow, unless you later re-consent.

4.5 Help Instructions (HELP)

If you need assistance with our SMS messaging program, you may reply "HELP" to any message or contact us using the information in the "Contact Us" section below. We will respond with information on how to obtain help and how to opt out.

4.6 Carrier Disclaimers

Delivery of SMS messages is subject to effective transmission by your mobile carrier and network operator. We do not guarantee:

  • That messages will be delivered in every case, or
  • That messages will be delivered without delay.

Supported carriers may change from time to time, and carrier participation may vary by region. Mobile carriers are not liable for delayed or undelivered messages.

4.7 Use of Mobile Information

We collect and use mobile phone numbers and SMS-related information as described in our Privacy Policy. In particular:

  • We use your mobile number only to send messages related to verification flows or other communications you have consented to receive.
  • We do not share, sell, rent, or disclose mobile phone numbers or SMS opt-in data with third parties or affiliates for their own marketing or promotional purposes.
  • Mobile information may be shared with subcontractors and service providers solely to support the Services (for example, with our SMS delivery provider to send messages on our behalf), and such providers are only permitted to use mobile information to perform services for us and must keep it confidential.

5. Third-Party Services and Integrations

The Services integrate with third-party providers, such as payroll connectivity platforms (including Argyle) and SMS delivery providers (including Twilio), as well as other tools and systems that Clients may connect to the Services. These third parties are independent of LendSure and are not controlled by us.

Your use of third-party services is subject to the terms and policies of those third parties, which may differ from these Terms. We are not responsible for the content, actions, or policies of any third-party service or for any damage or loss arising from your use of or reliance on such services.


6. Fees, Billing, and Usage

Certain features of the Services may be provided on a paid basis pursuant to a separate proposal, order form, or subscription plan agreed between LendSure and the applicable Client. Unless otherwise stated in a separate written agreement:

  • Fees are billed in accordance with the selected plan or usage schedule.
  • Usage-based fees (for example, per verification) are calculated from records generated by the Services.
  • All fees are non-refundable except as required by law.

Clients are responsible for all taxes, duties, and similar governmental charges associated with their use of the Services, excluding taxes based on LendSure's net income.


7. Ownership and Intellectual Property

LendSure and its licensors retain all right, title, and interest in and to the Services, including all software, technology, interfaces, design, logos, and other materials, whether registered or unregistered, and any improvements or derivative works thereof.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal business purposes in connection with income and employment verification. You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract the source code of the software, except to the extent such restrictions are prohibited by law.


8. Data and Privacy

Our Privacy Policy describes how we collect, use, and share information when you use the Services. By using the Services, you acknowledge that your data and any Borrower data you provide to us will be handled in accordance with the Privacy Policy.

Clients are responsible for obtaining any necessary consents and providing any legally required notices to Borrowers and other individuals whose information they submit to the Services.


9. Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that:

  • The Services will be uninterrupted, secure, or error-free.
  • Verification results or data obtained through third-party providers will be accurate, complete, or current.
  • Any defects or errors will be corrected.

LendSure does not provide legal, tax, or financial advice, and the Services are not a substitute for professional advice. You are responsible for determining how to use verification data and for all decisions made in reliance on the Services.


10. Limitation of Liability

To the maximum extent permitted by law, in no event will LendSure or its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, LendSure's total aggregate liability arising out of or in connection with the Services or these Terms will not exceed the greater of (a) the amounts paid by the applicable Client to LendSure for the Services giving rise to the claim during the six (6) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).


11. Indemnification

You agree to indemnify, defend, and hold harmless LendSure and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Services.
  • Your violation of these Terms or any applicable law or regulation.
  • Your submission of data or content to the Services, including any claim that such data or content infringes or misappropriates the rights of a third party.

12. Modifications to the Terms

We may update these Terms from time to time to reflect changes in our practices, the Services, or applicable law. When we make material changes, we will update the "Last updated" date at the top of this page and may provide additional notice as required by law.

Your continued use of the Services after any changes to these Terms becomes effective will constitute your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Services.


13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of laws principles.

Any legal action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction and venue of such courts.
